Please read these terms and conditions carefully. By accessing or using the Agenzy platform, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree, you must immediately stop using the platform.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Agenzy App. By creating an account, subscribing to a plan, or otherwise using the Services, you confirm that you accept these Terms in their entirety.

1. Description of the Services

Agenzy is an all-in-one AI agency platform that provides Users with a fully built business infrastructure to launch, operate, and scale an AI-powered agency. The Platform includes, but is not limited to:

• A customer relationship management (CRM) system for managing leads, clients, deals, and pipelines

• Prebuilt niche-specific systems, including websites, sales funnels, and marketing automations

• AI-powered tools for automated replies, appointment bookings, follow-ups, lead capture, and client communication

• The ability to create and manage unlimited client sub-accounts under your agency

• Integrated service delivery infrastructure for selling and fulfilling recurring AI and marketing services

• Access to templates, scripts, training resources, and sales frameworks

The Services are designed for use by entrepreneurs, agency owners, and business professionals. The Platform is not tailored to comply with industry-specific regulations such as FISMA, or similar frameworks. If your interactions or those of your clients would be subject to such laws, you may not use the Services for those purposes. You may not use the Services in any way that would violate the Gramm-Leach-Bliley Act (GLBA) or any equivalent financial privacy regulation.

We make no guarantees regarding the results, revenue, or outcomes you may achieve by using the Platform. Any examples, case studies, or income references provided on the Platform or in marketing materials are illustrative only and do not constitute a guarantee or promise of similar results.

2. Intellectual Property Rights

2.1 Our Intellectual Property

Agenzy App is the owner or licensee of all intellectual property rights in the Platform, including all source code, databases, functionality, website designs, audio, video, text, photographs, graphics, templates, automations, AI configurations, prebuilt systems, and all other content available through the Services (collectively, the “Content”), as well as the trademarks, service marks, logos, and trade names contained therein (the “Marks”).

The Content and Marks are protected by copyright, trademark, and other intellectual property laws under the laws of the Netherlands, the European Union, and applicable international treaties. The Content and Marks are provided through the Services “AS IS” for your internal business use only as permitted under these Terms. All rights not expressly granted are reserved.

2.2 License to Use

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable, limited license to:

• Access and use the Platform for the purpose of operating your agency business

• Use the prebuilt niche systems, templates, funnels, automations, and AI tools provided within your account for client delivery and service fulfillment

• Present the delivered services to your end clients under your own agency brand, where the Platform features permit such presentation

This license does not grant you ownership of any Content, technology, or intellectual property. No part of the Services, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any purpose without our express prior written permission.

2.3 Your Content

You retain ownership of content, data, and materials that you or your end clients upload or create through the Platform (“Your Content”). By using the Platform, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, cache, and display Your Content solely as necessary to provide and operate the Services. We may also use anonymized and aggregated data derived from Your Content for analytics, service improvement, and any other lawful purpose.

3. User Registration and Accounts

3.1 Registration

To use the Services, you must register for an account. By registering, you represent and warrant that:

• All registration information you submit is true, accurate, current, and complete

• You will maintain the accuracy of such information and promptly update it as necessary

• You have the legal capacity to enter into a binding agreement and you agree to comply with these Terms

• You are at least 18 years of age or the age of legal majority in your jurisdiction

• You will not use the Services for any illegal or unauthorized purpose

• Your use of the Services will not violate any applicable law or regulation

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to immediately suspend or terminate your account and refuse any and all current or future use of the Services, without refund.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You accept full responsibility for all activities that occur under your account, whether or not you authorized them. You must notify us immediately at [email protected] if you become aware of any unauthorized use. We reserve the right to remove, reclaim, or change a username at our sole discretion.

3.3 Client Sub-Accounts

The Platform allows you to create sub-accounts for your end clients. By creating and managing sub-accounts, you acknowledge and agree that:

• You are solely and fully responsible for all actions, content, data, and activities conducted through your client sub-accounts, including any violations of these Terms, applicable laws, or third-party rights by your end clients

• You must establish and maintain your own legally compliant terms of service, privacy policy, and any other required legal agreements with your end clients before providing them access to services powered by the Platform

• Agenzy has absolutely zero liability for anything that occurs within, through, or as a result of client sub-accounts, including but not limited to data breaches, client disputes, financial losses, legal claims, regulatory violations, or any harm suffered by your end clients or their contacts

• Agenzy reserves the right to independently suspend, restrict, or terminate any client sub-account at any time, without prior notice to you or your end client, if we reasonably believe that the sub-account is being used in violation of these Terms, applicable law, or in any manner that could harm the Platform, other Users, or Agenzy’s reputation or operations

• You shall indemnify and hold Agenzy harmless from any and all claims, demands, damages, losses, liabilities, and expenses (including legal fees) arising from or related to the use of sub-accounts by you or your end clients

• You act as the data controller with respect to personal data of your end clients and their contacts processed through the Platform. Agenzy acts as a data processor on your behalf. You are solely responsible for obtaining all necessary consents and providing all required disclosures under applicable data protection laws, including the GDPR

4. Purchases, Payment, and Subscription

4.1 Pricing

Access to the Platform requires a paid subscription. We accept payment methods as displayed at the time of purchase. You agree to provide current, complete, and accurate payment information. Applicable taxes (including VAT) will be added as required by law.

4.2 Billing and Renewal

Your subscription begins on the date of your initial payment and will automatically renew at the end of each billing cycle unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis.

4.3 No Refunds

ALL FEES AND PAYMENTS ARE FINAL AND NON-REFUNDABLE. THERE ARE NO REFUNDS, CREDITS, PRO-RATED AMOUNTS, OR REIMBURSEMENTS OF ANY KIND, UNDER ANY CIRCUMSTANCES, FOR ANY REASON. This applies to all subscription fees, one-time payments, upgrades, downgrades, unused portions of billing periods, and any other charges associated with the Services.

By subscribing to the Platform, you expressly acknowledge and agree to this no-refund policy. You waive any right to charge back, dispute, or reverse any payment made to Agenzy through your payment provider, bank, or credit card company. Chargebacks or payment disputes initiated in violation of this clause may result in immediate account termination and collection proceedings.

5. Prohibited Activities

You may not access or use the Services for any purpose other than that for which they are provided. As a User, you agree not to:

• Systematically retrieve data or content from the Services to create any database, or directory without our permission

• Trick, defraud, or mislead us or other Users, including attempts to learn sensitive account information

• Disparage, tarnish, or otherwise harm Agenzy, its reputation, or the Services

• Use the Services in a manner inconsistent with any applicable law, including anti-spam laws and the GDPR

• Attempt to bypass any access restrictions or security measures of the Services

• Send unsolicited bulk communications (spam) through the Platform or through client sub-accounts

• Reverse-engineer, scrape, crawl, or extract data from the Platform for any purpose not authorized by these Terms

• Sell, transfer, or share your account or credentials with any third party

6. Third-Party Integrations, Websites, and Content

The Platform may integrate with or link to third-party websites, services, applications, or content (“Third-Party Services”). We do not investigate, monitor, or verify Third-Party Services for accuracy, appropriateness, or completeness. Inclusion of or integration with any Third-Party Services does not imply endorsement by Agenzy.

You access and use Third-Party Services entirely at your own risk and subject to those third parties’ own terms and privacy policies. Agenzy shall not be responsible or liable for any harm, loss, or damage arising from your use of Third-Party Services, including any purchases, data sharing, or interactions with third parties.

You can disconnect third-party integrations at any time through your account settings or by contacting us at [email protected].

7. Platform Management

We reserve the right, but not the obligation, to:

• Monitor the Services for violations of these Terms

• Take appropriate legal action against anyone who violates these Terms or the law

• Remove any files and content that are excessive in size or are burdensome to our systems

• Otherwise manage the Services in a manner designed to protect our rights and property and to facilitate functioning

8. Account Termination

8.1 Termination by Us

In the event of termination by us, no refund, credit, pro-rated amount, or compensation of any kind shall be provided, regardless of the reason for termination or the remaining time on your billing period.

If your account is terminated, you are prohibited from registering a new account under your name, a fake or borrowed name, or the name of any third party. We reserve the right to pursue appropriate legal action.

8.2 Termination by You

You may cancel your subscription at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of the current paid billing period. No refunds or credits will be issued for the unused portion of any billing period.

8.3 Effect of Termination

Upon termination of your account for any reason:

• Your right to use the Services ceases immediately (or at the end of your billing period if you self-cancel)

• All client sub-accounts associated with your account will also be terminated

9. Uptime, Availability, and Platform Continuity

THE PLATFORM IS PROVIDED WITHOUT ANY GUARANTEE OF UPTIME, AVAILABILITY, OR CONTINUITY. WE DO NOT OFFER ANY SERVICE LEVEL AGREEMENT (SLA).

We may experience hardware, software, or other problems, or need to perform maintenance, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time without notice.

We reserve the right to discontinue, shut down, or permanently cease operation of the platform at any time, at our sole discretion, without prior notice and without liability to you or any third party.

YOU EXPRESSLY AGREE THAT AGENZY SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, LOST REVENUE, LOST PROFITS, LOST DATA, OR ANY OTHER HARM ARISING FROM ANY DOWNTIME, SERVICE INTERRUPTION, MAINTENANCE PERIOD, PLATFORM MODIFICATION, OR DISCONTINUATION OF THE SERVICES, WHETHER TEMPORARY OR PERMANENT.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Agenzy App, its officers, directors, employees, agents, affiliates, or licensors be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including but not limited to: lost profits, lost revenue, loss of data, loss of business opportunities, loss of goodwill, cost of substitute services, or any other damages arising from or related to your use of or inability to use the services, even if we have been advised of the possibility of such damages.

In any event, our total aggregate liability for all claims arising out of or related to these terms or the services shall not exceed the lesser of: (a) the total amount you have actually paid to Agenzy in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred euros (€100).

YOU EXPRESSLY WAIVE ANY RIGHT TO DAMAGES OF ANY KIND NOT EXPRESSLY PERMITTED UNDER THIS SECTION. THIS LIMITATION OF LIABILITY SHALL APPLY REGARDLESS OF THE LEGAL THEORY UPON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.

11. Indemnification

You agree to fully defend, indemnify, and hold harmless Agenzy App, its officers, directors, employees, agents, affiliates, and licensors from and against any and all losses, damages, liabilities, claims, demands, actions, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of the Services

• Breach of these Terms

• Any breach of your representations and warranties

• Your violation of the rights of any third party, including intellectual property rights

• Any content, communications, or activities conducted through your client sub-accounts

• Your failure to comply with applicable laws, including data protection laws

• Any claims brought by your end clients against Agenzy

• Any harmful act toward any other User of the Services

12. Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST AGENZY.

If any court or tribunal determines that this class action waiver is unenforceable, then the entirety of the dispute resolution section shall be deemed void (but all other provisions of these Terms shall remain in force), and the dispute shall be submitted to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands.

13. User Data and Backups

Although we perform routine backups, you are solely responsible for all data that you transmit to or create through the Services. You agree that we shall have no liability for any loss or corruption of data. We strongly recommend that you maintain your own independent backups of all critical business data, client information, and Content at all times.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Agenzy regarding the Services and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force. The invalid provision shall be replaced by a valid provision that most closely achieves the economic purpose of the invalid provision.

14.3 No Waiver

No waiver of any term shall be deemed a continuing waiver. Any failure by us to assert a right under these Terms shall not constitute a waiver of that right.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights at any time without notice, including in connection with a merger, acquisition, or sale of assets
